Please read the following terms & conditions carefully. These terms & conditions apply to anyone starting a course with “Omics Data Solutions Pty Ltd” (Brand Name). These terms and conditions are a contract between you (trainee) and Omics Data Solutions Pty Ltd.

All online courses are provided by Omics Data Solutions Pty Ltd under the brand name “Omics Data Solutions Pty Ltd”, 28 Tralee Heathfield, Cape Town. 7945. South Africa ( Company Registration 2020/555663/07)

Terms of Use:

This website is owned and operated by Omics Data Solutions Pty Ltd under the brand name “Omics Data Solutions Genomic Data Science Courses.”The company name will be referred to as “Omics Data Solutions Pty Ltd” herewith.

All intellectual property rights, including copyright in all content and communication, belong to Omics Data Solutions Pty Ltd. By reading the Terms of Use you are agreeing that the content and property of Omics Data Solutions Pty Ltd cannot be copied, reproduced, modified, stored, redistributed or exploited commercially in any way without permission from Omics Data Solutions Pty Ltd.

Terms of Use of this Website and Course Materials/Content:

Omics Data Solutions Pty Ltd may change the content, which includes prices, offers and content at any time. We do not provide a warranty or guarantee of its accuracy, completeness, suitability, timeliness or performance of information or content in the website. If there are errors in the information provided in the content of the website we expressly exclude liability for these inaccuracies, to the fullest extent that the law permits.

You can use any of the information or content at your own risk for which Omics Data Solutions Pty Ltd  will not be liable. It will be your responsibility to ensure that any products you purchase are suitable to your current requirements.

All materials, which include copy, content, images, layout, graphics, design and appearance belong to Omics Data Solutions Pty Ltd.

Any breach of these terms may result in a criminal offense being committed.

All of the online courses in the website and brochure are provided by Omics Data Solutions Pty Ltd and are subject to the following conditions:

1. Course Requirements:

By starting courses with Omics Data Solutions Pty Ltd you (the student) confirm that you meet the following minimum requirements of the course.

1.1 All of the courses are provided in English.

1.2 All customers must have a competent native level of English and possess a reasonable competence in English language reading, writing and speaking skills.

1.3 All candidates must have the ability to take advice from tutors and from peers and have the capability to make improvements to their result if required.

1.4 By making a booking with Omics Data Solutions Pty Ltd it is assumed that the candidate satisfies the above conditions and is deemed to have a competent level of English. The candidate, by making a booking, takes full responsibility in determining whether the course is suitable for their level of English. Omics Data Solutions Pty Ltd takes no responsibility if the candidate is unable to complete and pass the course.

1.5 If Omics Data Solutions Pty Ltd feels at any point during the course that the candidates level is below a sufficient level, as per the conditions, Omics Data Solutions will forward their concerns to the Director of Studies. If the tutor and the Director of studies believes the candidate to be below a sufficient level Omics Data Solutions Pty Ltd reserves the right to fail the candidate.

1.6 It should be noted that by purchasing any of the courses from Omics Data Solutions Genomics Data Science Courses does not mean that a candidate will be guaranteed a pass. Omics Data Solutions Pty Ltd reserves the right to fail students if they do not meet the minimum requirements of the course.

1.7 The Student will make a full declaration of any information deemed to be relevant by Omics Data Solutions Pty Ltd..

1.8 The Student agrees to follow any of the policies and regulations set down by Omics Data Solutions Pty Ltd.

1.9 In order to make the most of the Genomic Data Science Courses offered with Omics Data Solutions Pty Ltd, we encourage you to have a basic knowledge of Linux command for all courses, however you can register for the Bio-Computing Course which will give you the tools and education needed for the completion of the rest of the courses which you chose to sign up for.

• How to make a booking:

2.1 Booking can be made online on our website www.omicsdatasoutions.com. The person making the booking must be at least 18 years old and by paying for the course accepts the terms and conditions. Omics Data Solutions Pty Ltd states that by paying for a booking you have read the terms and conditions. You are also responsible for the accuracy of your personal details. Omics Data Solutions Pty Ltd will only deal with you in the event of cancellations or disputes.

2.2 You must make full payment at the time of booking and invoice receival. Omics Data Solutions Pty Ltd does not accept deposit or partial payments or installment payments. Once your booking has been accepted you will receive an invoice within 24 hours from the time of purchase. Once that invoice has been generated a contract exists between you and Omics Data Solutions Pty Ltd and all terms and conditions apply. Once you have received this invoice please go ahead and check it and inform us of any changes to personal details and contact information.

2.3 Once Omics Data Solutions Pty Ltd has received your payment for the course Omics Data Solutions Pty Ltd will email you a login username and password with 24 hours to allow you to access the course for the Microsoft teams, you will need to register onto the CHPC using this link: (https://users.chpc.ac.za/)

• Price of Courses:

3.1 All prices that are advertised on our website are correct at the time of booking. However, Omics Data Solutions Pty Ltd reserves the right and discretion to change our prices at any time. Please check our website for up-to-date prices and special offers before you book.

3.2 Once you have paid for a course you will be sent email confirmation with 24 hours of payment. If you do not receive an email then please contact us at info@omicsdatasolutions.com or through our financial office at financial@omicsdatasolutions.com or call us at +277 (021) 716 6306

3.3 Omics Data Solutions Pty Ltd reserves the right to change any of its prices at any time.

• Procedure for changing or cancelling a booking:

4.1 Cooling off Period:

Under the Consumer Protection Act No, 68 you the consumer have the legal right to cancel the contract between you and Omics Data Solutions Pty Ltd during the period of 14 days from date of the issue of the confirmation invoice, which is when the contract starts. This is known as the “cooling off period”. If you decide to cancel the course within this cooling off period then you must inform us within the 14 days of the confirmation invoice. Once we receive your written cancellation, in the form of an email we will refund your course fees within 30 days.

Once you have completed the cooling off period of 14 days you will be under the full cancellation conditions of courses which are 100% non-refundable.

If you login to the Course you will be deemed to have started the course and will no longer be able to get a full refund, even if it is within the 14-day period.

However, if you need to change the start date of a course for any other reason, our Director of Studies will consider this, and you will be able to change the start date for a fee of $50 / R760 if agreed by our Director of Studies.

4.2 You must inform us of your intent to cancel by writing to info@omicsdatasolutions.com in the form of an email.

4.3 Once we have received your written cancellation letter we will refund you within 30 days of receiving your letter and deduct any credit card surcharge, if applicable.

4.4 Once you have cancelled your booking your login details will be cancelled immediately.

4.5 If we cancel a Training Course, or change course content: – we reserve the right to cancel a Training Course at any time, without incurring any additional liability to the Licensor or any delegate. In such circumstances, we will offer alternative dates or a credit note.

5. Plagiarism:

5.1 If any student is found to have copied another student’s work then they will be issued with 1 formal warning. In subsequent cases the student will be deemed to have taken part in plagiarism and be failed. In the event of plagiarism, no refund will be given to the student.

6. Certificates:

6.1 Every student who passes the Online Courses will receive a PDF copy of the Omics Data Solutions Pty Ltd Certificate to be emailed within 14-21 Days of passing the Course.

6.2 If you would like to receive a hard copy of your certificate then there is a charge of  $20 /   R300 for 1 Certificate. Omics Data Solutions Pty Ltd will do everything possible to make sure that you receive your certificate within 30 days of passing the course. However, we do not take any responsibility for any postal service problems, which might delay your certificate and we do not take responsibility for a lost certificate due to in-country postal problems. We can provide proof that the Certificate was sent to your confirmed postal address. This covers all geographic locations.

6.3 Omics Data Solutions Pty Ltd will supply you with a new certificate in the event of loss or damage for a fee of $35 / R530

7. System Maintenance and Upgrades

At certain times our systems and software programs will be updated. In the event of an update will we endeavour to do this work as quickly as possible. However, if our systems are not working for a period longer than 72 hours then will allow our candidates to extend their course for no more than 72 hours.

8. Limitation of Liability

Omics Data Solutions Pty Ltd does not accept any liability for any loss or additional expense caused by delay or disruption to travel services, weather conditions, civil disturbance, industrial action, strikes, wars, floods, sickness or force majeure. Such losses or additional expenses are your responsibility. Force majeure represents unusual or unforeseeable circumstances, which include: war, terrorist activities, riots, natural disasters or nuclear disasters such as fire, flood or adverse weather conditions.

Licensors Liability

Nothing in this clause  shall exclude or in any way limit the company’s liability for fraud, or for death or personal injury caused by its negligence, or any other liability to the extent that it may not be excluded or limited as a matter of law.

Omics Data Solutions Pty Ltd  shall not be liable under, or in connection with, this Licence or any collateral contract for:

• loss of income;
• loss of business profits or contracts;
• business interruption;
• loss of the use of money or anticipated savings;
• loss of information;
• loss of opportunity, goodwill or reputation;
• loss of, damage to or corruption of data; or
• any indirect or consequential loss or damage of any kind howsoever arising and whether caused by tort (including negligence), breach of contract or otherwise;
• except for matters caused by tOmics Data Solutions Pty Ltd  negligence or wilful default (or that of its employees and agents), Omics Data Solutions Pty Ltd shall not be liable to you for any loss, harm or damage caused to any candidate, candidate’s property or your premises for any courses conducted by  Omics Data Solutions Pty Ltd.

You agree to indemnify and hold harmless the company against all cost or losses suffered or incurred by the Omics Data Solutions Pty Ltd due to claims, demands, suits, proceedings, actions, losses, judgments, damages, costs (including all reasonable legal fees), expenses, fines or penalties or actions against the company’s arising out of or relating to a third party’s any alleged harm, loss or damage caused to a candidate’s person, property, or to your premises on which the course relevant to such candidate takes place, due to any cause other than the company’s negligence or wilful default (or that of its employees and agents).

Subject to what is provided above, Omics Data Solutions Pty Ltd maximum aggregate liability under or in connection with the company, or any collateral contract, whether in contract, tort (including negligence) or otherwise, shall be limited to a sum equal to R10 000.00.

The Omics Data Solutions Pty Ltd liability for infringement of third-party intellectual property rights shall be limited to breaches of rights subsisting in South Africa.

These terms set out the full extent of the Omics Data Solutions Pty Ltd obligations and liabilities in respect of the supply of the Training Courses, Training Materials and Documentation. In particular, there are no conditions, warranties, representations or other terms, express or implied, that are binding on the Licensor except as specifically stated in this Licence.

9. Complaints

If at any time, you are unhappy with the Omics Data Solutions Pty Ltd service then please contact us immediately at info@omicsdatasolutions.com and we will endeavour to respond as quickly as possible but no more than 30 days following the receipt of your complaint. 10. Accuracy of Marketing Materials

Omics Data Solutions Pty Ltd makes every effort to ensure that the marketing materials in our website is up to date and accurate. We take no responsibility for any information that is deemed incorrect and we will endeavour to do our best to inform you of any changes to the course. We reserve the right to change any of the information in our website at any time we feel appropriate.

11. The Law and its Jurisdiction:

These terms and conditions and any dispute or claim arising out of and in connection with them or their subject matter (including no contractual disputes or claims) shall be governed by and shall be construed in accordance with English Law and the Courts of South Africa and shall have exclusive jurisdiction over any claim arising out of it.

12. Third Party Rights:

A person that has no connection to the course shall have no rights in the contract.

13. Changes to Terms and Conditions:

Omics Data Solutions Pty Ltd reserves the right to change any of these conditions at any time deemed necessary to reflect current market and economic conditions.

14. Severance:

If any party finds any of the terms and conditions in this document to be deemed illegal, invalid or unenforceable then these parts will be deleted while the other parts of the terms and conditions will be deemed valid.

15. The Course:

The Course and the relevant login details are solely for your use. Other parties cannot use these details.

16. Acceptance of these terms and conditions:

By reading these terms and conditions, verbally agreeing on the telephone or making payment on the website you are accepting all terms and conditions of Omics Data Solutions Genomic Data Science Online Courses

Please be aware that we do our best to respond to contact emails as quickly as possible. We have very high customer service expectations and will endeavour to reply to your contact email within 24 – 48 Hours after receipt of your email. We would also like to make you aware that sometimes spam filters do not allow our emails into your system. Please check your junk/spam folders and the settings on your Email Client. Omics Data Solutions Pty Ltd does not take responsibility for you not receiving emails due to filters/junk or spam folders on your Email Client.

We often experience very high call volumes and we would like to make it clear that if we cannot answer your telephone call we ask that you contact us by email and we will endeavour to get back to you by email within 24-48 Hours after receiving your email.

Please be aware that you as an individual can choose to allow your personal information to be used by businesses at any time. You can manage your preferences and computer systems to disable setting on your personal computer.

19. Omics Data Solutions Pty Ltd Genomic Data Science Online Courses Commitment:

19.1 Omics Data Solutions Pty Ltd has a commitment to help you get the most from your Online Courses. Our tutors are here to help you by giving you constructive feedback and advice.

19.2 Any queries will be dealt with within 48 hours of receipt.

19.3 We will give you a grade for your course within 14 days of the completion of the course.

In the website and the course, we acknowledge there is research to support the benefits but this is in no way guaranteed. 24. Affiliate Conditions

We welcome all affiliate vendors to our site but we have minimum requirements:

All Affiliate Courses must be Accredited by an Accreditation Body recognised by Omics Data Solutions Pty Ltd.

All prospective courses must be reviewed by Omics Data Solutions Pty Ltd before they are submitted and added to the website.

Omics Data Solutions Pty Ltd has the right to reject any online courses submitted by affiliates. Omics Data Solutions Pty Ltd has the right to refuse any course without having to give any explanation.

25. Hosting

All Affiliate Courses will be hosted on their own servers.

Omics Data Solutions Pty Ltd will market Affiliate Courses on the website www.omicsdatasolutions.com

If a user purchases a course from the Omics Data Solutions Pty Ltd website, an email confirmation will be sent to the learner and the Affiliate.

The Affiliate Course will take full responsibility for enrolling the learner onto the course.

ENTIRE AGREEMENT

These terms and any document expressly referred to in them represent the entire agreement between us in relation to the purchase of Training Courses, Training Materials and Documentation and supersede any prior agreement, understanding or arrangement between us, whether oral or in writing.

We each acknowledge that, in entering into these terms, neither of us has relied on any representation, undertaking or promise given by the other or be implied from anything said or written in negotiations between us prior to entering into these terms, except as expressly stated in these terms and conditions.

Neither of us shall have any remedy in respect of any untrue statement made by the other, whether orally or in writing, prior to the date of entering into these terms (unless such untrue statement was made fraudulently) and the other party’s only remedy shall be for breach of contract as provided in these terms and conditions.
